By accessing or using GrowthSpark's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Services Description

GrowthSpark provides growth marketing services including but not limited to Strategic Growth Consulting, Performance Marketing Management, and Conversion Rate Optimization. Services are provided according to the specific agreement between GrowthSpark and each client.

3. Client Eligibility

To use our services, you must:

• Be at least 18 years old
• Have the legal authority to enter into contracts
• Provide accurate and complete information
• Maintain the confidentiality of your account information

4. Service Agreements

4.1 Service Tiers

Our services are offered in three tiers:

• Growth Acceleration: $5,000/month
• Performance Marketing: $3,000/month
• Strategic Growth: $1,000/month

4.2 Commitment Terms

Commitment terms vary by service tier and are detailed in your service agreement. Early termination may result in penalties as outlined in your service agreement.

5. Payment Terms

• All fees are due monthly in advance
• Payments are non-refundable except as provided in our guarantee
• Late payments may result in service suspension
• We reserve the right to modify pricing with 30 days notice

6. Performance Guarantee

We offer a results guarantee on all services. If we fail to deliver the specific results outlined in your service agreement, we will continue working at no additional cost until those results are achieved. Specific terms and conditions apply as detailed in your service agreement.

7. Client Responsibilities

As a client, you agree to:

• Provide timely access to necessary accounts and information
• Respond to requests for information within reasonable timeframes
• Maintain ownership and responsibility for your business decisions
• Ensure all provided information is accurate and lawful

8. Intellectual Property

All strategies, methodologies, and materials developed by GrowthSpark remain our intellectual property unless otherwise agreed in writing. Client retains ownership of their brand assets and business information.

9. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of services.

10. Limitation of Liability

GrowthSpark's liability is limited to the amount of fees paid by the client in the preceding 12 months. We are not liable for indirect, incidental, or consequential damages.

11. Termination

Either party may terminate services:

• Upon completion of the agreed term
• For material breach with 30 days written notice
• Immediately for violations of law or ethical standards

12. Dispute Resolution

Any disputes arising from these terms shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration.

13. Governing Law

These terms are governed by the laws of the United States and the state in which GrowthSpark is incorporated, without regard to conflict of law principles.

14. Changes to Terms

We reserve the right to modify these terms at any time. Changes become effective upon posting to our website. Continued use of services constitutes acceptance of modified terms.
